CONSTITUTION OF THE SEVEN MOUNTAINS BLUEGRASS ASSOCIATION

 Be it resolved that the name of this non-profit organization shall be SEVEN MOUNTAINS BLUEGRASS ASSOCIATION, INC. (SMBA) located in central Pennsylvania . The purpose of this Association shall be to preserve, promote, and enjoy bluegrass music and to bring said music to an ever increasing number of people.

FOUNDERS OF THE ASSOCIATION

The founders of the Seven Mountains Bluegrass Association were Wynne Fishel and Ina Jane Atkinson.

ARTICLE I-- OFFICERS

          Section 1 DEFINITIONS

The officers of SMBA shall be president, vice president, secretary, treasurer, and the board of directors. The board of directors shall consist of the four elected officers and at most four additional members called trustees that are appointed by the president.

          Section 2 DUTIES

It shall be the duty of the president to preside at meetings and functions of the SMBA and to enforce a due observance of the constitution and by-laws. The president shall be chairperson of the board of directors and a member ex-officio of all committees. The president shall, with the exception of the elected officers, make all appointments to the board of directors.

It shall be the duty of the vice president to perform all presidential duties in the absence of the president and, at all times, assist the president when and as requested.

It shall be the duty of the secretary to keep accurate and complete records of all meetings and proceedings of the SMBA, to keep records of the treasurer's reports, committee reports, and all else deemed to be of importance or interest to the SMBA (except that which is related to the work assigned to committees or other officers).

It shall be the duty of the treasurer to do all banking, to make all investments of the Association in the name of and to the account of the SMBA, to keep an accurate and complete record of the finances of the SMBA, to accept and deposit in a banking institution all funds received, to pay all bills approved by the president and board of directors, to submit financial reports, records, and supporting documentation to the board of directors at least once each year for auditing purposes.

It shall be the duty of the board of directors to attend to the affairs of the SMBA between meetings (regular) of the Association. The actions of the board shall not conflict with any official actions taken by the general membership.

          Section 3. REMOVAL

Trustees failing to discharge their duties may be removed from office by a majority vote of the president and board members present at an officially called board meeting.

Officers failing to discharge their duties may be removed from office by a two third vote of all board members. In this event, a general election where all SMBA members are able to nominate and vote shall be held to choose a replacement..

ARTICLE II-- MEETINGS  

          Section 1 REGULAR MEETINGS

The regular meetings of the SMBA shall be held on the third (3rd) Sunday of each month at a site selected by the officers .  An official business meeting shall be held during each regular meeting. Special meetings or a change of meeting date or place may be called by order of the president and/or the Board. All SMBA members shall be notified via telephone, mail, radio, newsletter, newspaper or the Internet.  

          Section 2 FREQUENCY OF BOARD MEETINGS

There will be two required board meetings during the year. The president shall make the time and dates of these two meetings known to the board members no later than three months in advance of each meeting. The first meeting will be during May at a place and time to be determined by the president. The second will be during November at a place and time to be determined by the president.

As determined by the president or the majority of Board members, the Board of Directors may meet monthly. All board members shall be notified in advance of these meetings.

          Section 3 OFFICIAL BOARD MEETING  

In order for official business to be transacted at any board meeting there must be a minimum of four (4) board members present.


ARTICLE III--AMENDMENTS
 

          Section 1

Every proposed amendment to the constitution or bylaws of the SMBA shall be submitted in writing to the Board of Directors. Only if approved by a majority of votes of the Board, shall the amendment be presented to the membership at a regular meeting and then approved or disapproved by a majority of the members present at the next scheduled regular meeting.  

ARTICLE IV-- COMMITTEES  

          Section 1 CREATION OF

Committees shall be created and dissolved as needed by the Board. The chairperson position and membership shall be voluntary. Any chairperson failing to perform the duties of that position may be replaced by a majority vote of the Board members present. Committee members failing to discharge their duties may be replaced at the discretion of the chairperson.

          Section 2 FINANCIAL REV IEW

There shall be an annual financial review committee, consisting of SMBA members, appointed by the board . This committee will examine the books and present a written report to the board at the November board meeting.

ARTICLE V-- ELECTION OF OFFICERS

          Section 1

Annual election of officers shall be held at the October general meeting. . Nominations will begin at the regular August meeting and continue up until the October meeting. Nominations shall be entertained from the floor of a regular August or October meeting.  Nominations may also be made to the secretary by e- mail or in writing. Final voting shall be by paper ballot.  Elected officers shall assume their duties in January of the following year.

BY-LAWS

No one may use the name of the Seven Mountains Bluegrass Association for festivals, shows, advertisement, or any other promotion without written permission of the president and Board of Directors.

·         Anyone is welcome to attend our regular meetings. However, only members of SMBA will be able to vote and actively participate in the business meetings.

·         The Board reserves the right to revoke the membership of any member for actions inconsistent with the goals and objectives of the Association. Revocation is contingent upon a majority vote of the Board of Directors.

·         No alcoholic beverages shall be permitted at the meetings, concerts and functions of the SMBA.

The SMBA shall charge an annual membership fee to be set at a regular meeting prior to September 1 of the year preceding the change. The membership year shall be based upon a calendar year. Those joining after September 1 shall be granted membership until December 31 of the following year.
The members of the SMBA shall consist of all persons who express an interest in advancing the goals and objectives of the Association by applying for membership.
SMBA shall not be responsible for any items damaged, lost, or stolen.
SMBA shall not be responsible for any personal injury incurred at any meeting or gathering of the Association.
Since SMBA is an all volunteer organization, except for reimbursement, there shall be no remuneration for any services provided to the Association by officers, trustees or members of the Seven Mountains Bluegrass Association.
